1. Acceptance of Terms

By accessing or using the Zego RE platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and Zego RE LLC ("Company," "we," "us").

2. Platform Description

Zego RE is a technology platform that facilitates connections between investors and real estate investment opportunities, including syndications structured under SEC Regulation D exemptions (Rule 506(b) and 506(c)). The Platform provides deal discovery, APEX scoring, portfolio tracking, and related tools.

Zego RE is NOT a registered broker-dealer, investment adviser, or funding portal under the Securities Exchange Act of 1934 or the Investment Advisers Act of 1940. The Platform does not provide investment advice.

3. Eligibility & Accreditation

You must be at least 18 years old and a U.S. person or entity to use the Platform. Certain investment opportunities are restricted to accredited investors as defined under SEC Rule 501(a). You represent that any accreditation status you provide is truthful and current.

4. Investment Risks

All investments involve risk, including the potential total loss of principal. Real estate investments are illiquid and speculative. Past performance does not guarantee future results. 5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must immediately notify us of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

6. Fees

Zego RE plans to earn its fees from sponsors, the commercial real estate operators who list deals on the Platform. Investors do not pay Zego RE a fee to create an account, browse deals, invest or receive distributions. We do not collect payment for any feature of the Platform during our market research phase. Before we collect any payment, we will update these Terms to explain the price, how payment works and how refunds work.

7. SDIRA Investments

If investing through a Self-Directed IRA (SDIRA), you acknowledge that: (a) you are solely responsible for ensuring compliance with IRS rules regarding prohibited transactions; (b) Zego RE does not serve as an IRA custodian; (c) all SDIRA investments must be directed through your approved custodian (e.g., Advanta IRA, Equity Trust).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEGO RE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR INVESTMENT RETURNS, ARISING FROM YOUR USE OF THE PLATFORM OR ANY INVESTMENT MADE THROUGH IT.

9. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Florida. You waive any right to a jury trial or class action.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
